  • Is otherwise false, inaccurate, or misleading.

You further agree that you will not:

  • Use the Website or Services for any unlawful purpose or in violation of any applicable law, including securities law;
  • Probe, scan, or test the vulnerability of the Website, or breach any security or authentication measure on it;

12. Feedback

If you submit feedback, suggestions, or ideas regarding the Website or Services, you agree that we may use such feedback, without any obligation of compensation or attribution to you, to improve our Services, and that such feedback becomes the property of the Company to the extent permitted by law.

13. Hosting of Third-Party Information

The Website may host or display information provided by third parties, such as instructor profiles or market commentary. We take reasonable care to ensure the accuracy of such information but are not responsible for its accuracy, legitimacy, or completeness, and you agree not to hold us liable for any error or falsification in such third-party content.

14. Third-Party Links and Content

The Website may contain links to third-party websites, tools, or resources that are not owned or controlled by us. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party site, and accessing such links is entirely at your own risk.

15. Disclaimer of Warranties

The Website, Services, and Content are provided on an “as is” and “as available” basis, without warranty of any kind, express, implied, or statutory, including implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the foregoing, we do not warrant that your requirements will be met, that the Services will be uninterrupted, timely, secure, or error-free, that the materials or results obtained will be accurate or reliable, or that any errors or defects will be corrected. We do not guarantee any specific learning outcome, trading result, or financial gain from use of our courses.

16. Limitation of Liability

To the fullest extent permitted by applicable law, neither Stock Burner Private Limited nor its directors, officers, employees, instructors, or affiliates shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or trading/investment losses, whether or not foreseeable and whether or not we have been advised of the possibility of such damages, arising out of or in connection with your use of, or inability to use, the Website or Services, based on any theory of liability including breach of contract, warranty, negligence, or other tortious action. Our aggregate liability for any claim arising under these Terms shall not exceed the amount actually paid by you for the specific course or Service giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Stock Burner Private Limited, its affiliates, vendors, agents, and employees from and against any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach or non-performance of any representation, warranty, or obligation under these Terms;

(b) any claim that content you submitted caused damage to a third party; or

(c) your violation of any right of another person, including intellectual-property rights, in each case whether asserted by us or by a third party.

18. Termination

These Terms remain effective until terminated by either you or the Company. You may terminate by discontinuing your use of the Website. We may suspend or terminate your access to the Website or any Service at any time, without prior notice or liability, including if you breach these Terms, engage in prohibited activity, or if required by law. Termination does not cancel any obligation to pay for Services already ordered, nor affect any liability that arose prior to termination, nor limit our right to be indemnified as described in Section 17, all of which survive termination. Upon termination for cause, you will not be entitled to a refund for unused course access, except as required under our Refund Policy or applicable law.

19. Amendments to Courses and Services

We may, at our discretion, update, modify, discontinue, or replace course content, instructors, or delivery formats (for example, moving from live to recorded sessions) to maintain content quality and accuracy, provided the core value of a purchased course is not materially diminished without reasonable accommodation, such as access to an equivalent or updated module.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.

All disputes arising out of or in connection with these Terms, including in relation to rights, compensation, refunds, or other claims will first be attempted to be resolved through good-faith negotiation, and, failing that, through the following two-stage process:

  • Mediation: the matter will be referred to a sole mediator mutually agreed upon by both parties. If the parties cannot agree on a mediator within a reasonable time, the Company shall propose a mediator. The mediator's recommendation is not binding on either party.
  • Arbitration: if mediation does not resolve the dispute, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual consent, or, failing consent, a panel of three arbitrators (one appointed by each party and the third by the two so appointed). The seat and venue of arbitration shall be Uttarakhand, India, the proceedings shall be conducted in English, and the arbitral award shall be final and binding on both parties.

Subject to the foregoing, and to any mandatory consumer-protection forum available to you under the Consumer Protection Act, 2019 (including e-commerce rules), the courts at Uttarakhand, India shall have exclusive jurisdiction over any matter not resolved through this mechanism. Before initiating any formal proceeding, we encourage users to first raise any grievance with us at trade@stockburner.in.

21. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be severed and reformed to the minimum extent necessary to correct the defect, while the remaining provisions shall continue in full force and effect.

22. Waiver

The failure of either party to require performance of any provision of these Terms at any time shall not affect that party's right to enforce it later. No waiver of any breach of these Terms, whether by conduct or otherwise, shall be construed as a waiver of any other or continuing breach.

23. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company with respect to your use of the Services and supersede any prior agreements or understandings, whether written or oral.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Changes will be effective immediately upon posting the revised Terms on the Website, along with an updated “Effective Date”.
